This Wholesale Terms Agreement ("Agreement") is entered into between Plantwalk LLC ("Plantwalk") and the approved Whole Account Holder (“Account Holder”) upon acceptance into the Plantwalk Wholesale Program.

1. Eligibility
Wholesale accounts are available to licensed or credentialed wellness practitioners and legitimate retail businesses. Plantwalk reserves the right to approve or deny any wholesale application at its sole discretion and to revoke wholesale status at any time.

2. Discount & Pricing
Account Holders will receive a discount applied via a unique, personal discount code provided by Plantwalk upon approval. Practitioner and retailer accounts receive 30% off retail pricing. Pricing is subject to change with reasonable notice.

3. Discount Code
The wholesale discount code is issued to the Account Holder only and is non-transferable. Sharing, reselling, or distributing the discount code to any third party is strictly prohibited and will result in immediate termination of the wholesale account.

4. Minimum Order
A minimum of 10 bags is required for each wholesale order. 

5. Payment
Payment is due in full at the time of order. Plantwalk does not offer payment terms or invoicing at this time.

6. Shipping
Orders will be shipped within 7 days of purchase. Shipping costs are the responsibility of the Account Holder unless otherwise specified. Free shipping discounts are not available to Account Holders. 

7. Sales Channel Restrictions
Wholesale products may not be resold through any online channel, including but not limited to personal websites, e-commerce platforms, third-party marketplaces (such as Amazon, Etsy, or eBay), or social media storefronts. Retail sales are permitted in physical brick-and-mortar locations only. Practitioners may recommend and sell products directly to clients in a professional setting.

8. Resale Certificates
Retail Account Holders are responsible for providing a valid resale certificate or seller's permit. It is the Account Holder's responsibility to comply with all applicable state and local sales tax laws.

9. Account Termination
Plantwalk reserves the right to terminate any wholesale account for violation of these terms, misuse of the discount code, or conduct inconsistent with the Plantwalk brand and values. Upon termination, the discount code will be deactivated immediately.

10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

11. Agreement
By signing below, the Account Holder agrees to the terms outlined in this Agreement and confirms that all information provided in their wholesale application is accurate and complete.
